Public Offer

This Public Offer (“Offer”) is an open proposal by BERBEST LIMITED (doing business as “Collab,” “we,” “us,” “our”), Room 511, 5/F, Ming Sang Industrial Bldg, 19-21 Hing Yip St, Kwun Tong, Hong Kong, to any legal entity or individual entrepreneur (“Client,” “you”) that wishes to purchase Collab’s Launch Plan.

By clicking “I Agree,” paying the Launch Plan fee, or otherwise using the Services described in this Offer, you accept the terms below and enter into a legally binding agreement with Collab (the “Agreement”).


1. Subject of the Offer

1.1 Services. Collab provides (a) access to its private membership community, (b) warm introductions to other vetted members, (c) standard legal templates, and (d) facilitation support for partnership negotiations, all as detailed in Section 2 (“Services”).

1.2 No Guarantee of Results. Collab facilitates introductions; it does not guarantee any specific number of introductions, revenue targets, or user-growth outcomes.

3. Fees & Payment

3.1 Launch Plan Fee. A one-time, non-refundable fee of USD 1 000 for a six-month term (“Term”).

3.2 Payment Method. Payment must be made via Collab’s designated processor (e.g., Stripe). All bank charges and taxes are borne by the Client.

3.3 Success Fee (Optional). If the parties later agree in writing to a revenue-share or referral fee (“Success Fee”), its rate, calculation method, and payment schedule will be set out in a separate addendum.


4. Client Obligations

  • Provide accurate and complete information in the application form and during due-diligence.
  • Comply with all applicable laws, including privacy, anti-spam, and export-control rules.
  • Keep introductions confidential and use Collab’s legal templates (or equivalent) when exchanging sensitive information with other members.


5. Collab Obligations

  • Conduct reasonable due-diligence on each prospective member.
  • Maintain and operate the community platform with reasonable care and skill.
  • Facilitate introductions based on good-faith compatibility assessments.


6. Term & Termination

6.1 Term. The Agreement starts on the date Collab confirms payment and lasts six (6) calendar months.

6.2 Cancellation. You may cancel the Launch Plan at any time by e-mailing support@withcollab.com; the fee is non-refundable.

6.3 Early Termination. Collab may suspend or terminate Services immediately if you materially breach this Agreement or engage in unlawful conduct.


7. Confidentiality

Both parties shall keep confidential all non-public information received under this Agreement, including information disclosed during introductions, and shall use it solely for evaluating or executing potential partnerships. The standard Collab NDA (latest version) applies and is incorporated by reference.


8. Intellectual-Property Rights

Collab retains all rights in its brand, platform, and materials. The Client retains all rights in its own trademarks, content, and data. Nothing in this Agreement transfers ownership of either party’s IP.


9. Limitation of Liability

To the maximum extent permitted by law, Collab’s aggregate liability under this Agreement shall not exceed USD 500 or the amount you paid for the Launch Plan—whichever is greater. Collab is not liable for indirect, consequential, or special damages (including lost profits).


10. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Hong Kong. Any dispute that cannot be resolved amicably within 30 days shall be finally settled by confidential arbitration under the HKIAC Administered Arbitration Rules; seat Hong Kong, language English.


11. Amendments

Collab may update this Offer at any time by posting a revised version on withcollab.com. The revised Offer becomes binding 30 days after posting. Continuing to use the Services after that date constitutes acceptance.
