Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between BERBEST LIMITED (doing business as “Collab,” “we,” “us,” “our”), Room 511, 5/F, Ming Sang Industrial Bldg, 19-21 Hing Yip St, Kwun Tong, Hong Kong, and you, the person or entity (“Member,” “you,” “your”) that accesses or uses the Collab website at withcollab.com and any related services (collectively, the “Services”).

By clicking “Accept,” paying a membership fee, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Services.



1. Eligibility

1.1 B2B use only. The Services are designed for owners or authorised representatives of legally registered businesses (SaaS, IT, or similar products).

1.2 Minimum age. You must be at least 18 years old and able to form a binding contract.

1.3 Due-diligence. Membership is subject to Collab’s review of the information you provide (company registration, revenue ranges, user counts, etc.). We may approve or reject membership at our sole discretion.



2. Membership & Fees

2.1 Launch Plan (6 months). A flat, non-refundable fee of USD 1 000 grants access to the Collab community, warm introductions, standard legal templates, and support for six (6) months (“Membership Term”).

2.2 Success Fee. Any revenue-share, referral fee, or similar performance-based fee (“Success Fee”) will be negotiated in a separate agreement between you and Collab (or directly between Members) and is not covered by these Terms.

2.3 Renewal. Membership renews only if you and Collab agree in writing (e-mail suffices) to a new term and applicable fee.



3. How Collab Works

3.1 Introductions. After approval, Collab may introduce you to other Members whose products, audiences, or goals appear compatible. Collab does not guarantee any minimum number of introductions, revenue, users, or other results.

3.2 Direct negotiations. You are solely responsible for negotiating and executing partnership agreements with other Members. Collab is not a party to such agreements unless expressly stated.

3.3 No data hand-off. Collab will never share your customer lists or sensitive data without your written consent.

3.4 Community rules. You agree to (a) keep introductions confidential, (b) use professional conduct, and (c) respect each Member’s NDA and intellectual-property rights.



4. Your Obligations

4.1 Accurate information. All data you provide (company size, revenue, user counts, etc.) must be complete, current, and accurate.

4.2 Compliance. You will comply with all applicable laws and industry regulations, including anti-spam, privacy, and export-control rules.

4.3 Prohibited conduct. You shall not (a) misrepresent your business, (b) scrape or harvest data from the Site, (c) reverse-engineer the platform, or (d) infringe any third-party rights.



5. Intellectual Property

5.1 Collab IP. All site content, software, logos, and trademarks are owned by Collab or its licensors and protected by law. We grant you a limited, non-exclusive, revocable licence to use the Site for its intended purpose.

5.2 Member IP. Each Member retains ownership of its own trademarks, content, and confidential information. Nothing here transfers such rights.



6. Confidentiality & NDA

6.1 Mutual NDA. Before Collab shares sensitive information, you must sign Collab’s standard Non-Disclosure Agreement (“NDA”). The NDA is incorporated by reference into these Terms.

6.2 Partner NDAs. You may be required to execute additional NDAs directly with other Members. Collab is not responsible for enforcing those agreements.



7. Disclaimers

7.1 No guarantee of results. Collab provides a networking and facilitation service only. We do not warrant that you will achieve any particular revenue, user growth, or partnership outcome.

7.2 “As is” platform. The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Collab disclaims all warranties, express or implied (including merchantability, fitness for a particular purpose, and non-infringement).

7.3 Third-party content. Collab is not responsible for the actions or omissions of any Member or third-party service linked through the Site.



8. Limitation of Liability

To the maximum extent permitted by law, Collab’s total liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the membership fees you paid to Collab in the 12 months before the event giving rise to liability, or (b) USD 500. Collab will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if we have been advised of the possibility of such damages.



9. Indemnification

You agree to defend, indemnify, and hold harmless Collab, its directors, officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your (a) use of the Services, (b) violation of these Terms, or (c) infringement of any third-party right.



10. Term & Termination

10.1 Term. These Terms apply from your first use of the Services and continue until your Membership Term ends or is terminated under this Section.

10.2 Termination by you. You may cancel membership at any time by e-mailing support@withcollab.com. Fees already paid are non-refundable.

10.3 Termination by Collab. We may suspend or terminate your access immediately if you breach these Terms, the NDA, or applicable law.

10.4 Effect of termination. Sections 5, 6, 7, 8, 9, 11, 12 survive termination.



11. Governing Law & Dispute Resolution

11.1 Law. These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles.

11.2 Informal resolution. You agree to first attempt to resolve any dispute by contacting Collab at legal@withcollab.com and allowing 30 days for a response.

11.3 Arbitration. If not resolved, any dispute shall be finally settled by confidential arbitration under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration is Hong Kong. The language is English. The award shall be final and binding.



12. Modifications

Collab may update these Terms at any time. We will post changes on the Site with a new “Last updated” date. Material changes will take effect 30 days after posting. Your continued use of the Services after that period constitutes acceptance of the revised Terms.



13. General

  • Entire agreement. These Terms, the NDA, and any signed order form constitute the entire agreement between you and Collab and supersede all prior discussions.
  • Assignment. You may not assign these Terms without Collab’s prior written consent. Collab may assign them in connection with a merger, reorganisation, or sale of assets.
  • Force majeure. Collab is not liable for delays caused by events beyond its reasonable control.
  • Severability. If any provision is held unenforceable, the remainder remains in effect.
  • No waiver. Failure to enforce any right is not a waiver of future enforcement.
